The acquisition involves TRX issuing 3,211,010 Class A ordinary shares at a price of $2.18 per share. The transaction is anticipated to close on or about November 5, 2025, or on another date mutually agreed upon by the parties.
REN Talents Inc., founded in 2021, operates as a full-service creative brand agency with offices located in New York, Shanghai, and Paris. The agency specializes in the fashion, beauty, lifestyle, and entertainment sectors. It has provided brand strategy, marketing activation, and content development services to over 100 cross-industry clients, including fashion brands like ANTA, PEAK, Xtep, and Urban Revivo; technology firms such as Xiaomi, OPPO, and Infinix; and retailers like Miniso and AliExpress. The company also manages internationally renowned talents, including actress Maggie Q, and maintains exclusive access to top-tier Key Opinion Leader (KOL) resources and creative partnerships with global fashion media.
