TIAN RUIXIANG Holdings Ltd. (Nasdaq: TIRX) (“TRX”) has announced a definitive agreement to acquire REN Talents Inc. (“Target”). As per the agreement, TRX will issue 3,211,010 Class A ordinary shares priced at $2.18 each. The transaction is expected to close around November 5, 2025, or another mutually agreed-upon date.
Target is a comprehensive creative brand agency based in New York and Paris, specializing in fashion, beauty, lifestyle, and entertainment. Since its establishment in 2021, it has served over 100 clients across industries. These range from fashion brands like ANTA, PEAK, Xtep, and Urban Revivo, to tech companies like Xiaomi, OPPO, and Infinix, and retailers such as Miniso and AliExpress. Target provides brand strategy, marketing activation, and content development services. The agency also manages internationally recognized talent, including actress Maggie Q, and has exclusive access to leading Key Opinion Leader (KOL) resources and creative partnerships with global fashion media.
